The clauses below detail the terms and conditions of Affiliate Membership to The osCommerce Cafe. If you have any further questions or concerns not addressed in the following information, please contact Customer Services directly for assistance.

1-1 Compensation:
The osCommerce Cafe will compensate Affiliate Members for 25% of the total sale price of purchases made by visitors that were referred through authorized affiliate links. Payments will be made once minimum earnings of $50 US Dollars have been achieved. Payments will be made to a valid mailing address, which must be provided by the Affiliate Member. Requests for payment by other methods will not be accepted.

1-2 Account Details and Tracking:
A valid username and password must be nominated by the Affiliate at registration. This username and password may be used for access to detailed tracking and statistics, as well as for the acquisition of valid affiliate tracking links and advertisements.

1-3 Due Diligence:
Commissions generated by the Affiliate may be subject for verification by The osCommerce Cafe to ensure authenticity. We reserve the right to remove any commissions that we deem to be fraudulent or false.

1-4 Terms of Use:
Affiliates agree not to engage in spam or other illegal or fraudulent activities in order to gain commissions through the The osCommerce Cafe Affiliate Program. We reserve the right to modify our Terms of Use at any time, without prior notification.

1- 5 Relationship of Parties:
An Affiliate Membership does not denote or create any kind of partnership, joint venture, agency, franchise, representative or employment relationship between Affiliates and The osCommerce Cafe. As such, Affiliates have no authority to make or accept any offers or representations on our behalf.

1-6 Disclaimers:
We make no guarantee that referrals to The osCommerce Cafe will result in sales or subsequent commission for the Affiliate Member. In addition, we make no representation that the operation of our site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.

1-7 Indemnification:
You agree to indemnify, defend and hold harmless The osCommerce Cafe (Dolcev Consultants Ltd.), its shareholders, officers, directors, employees, agents, corporate affiliates, successors and assigns, from and against any and all claims, losses, liabilities, damages or expenses including reasonable attorneys' fees and costs, of any nature whatsoever incurred or suffered by The osCommerce Cafe. (collectively the "Losses"), in so far as such Losses (or actions in respect thereof) arise out of or are based on (i) any claim or threatened claim that our use of your name, titles, logos or trademarks infringes on the rights of any third party; (ii) the breach of any representation or warranty made by you herein; or (iii) or any claim related to the development, operation, maintenance or content of Your site. This section survives termination of this Agreement.

1-8 Termination:
This affiliate relationship may be terminated by either party at any time, without prior notice.
